This document is prepared in English and shall be interpreted in English. Translations may be provided for convenience only. In the event of any inconsistency, conflict, or ambiguity between any translation and the English version, the English version shall prevail. Translations do not amend, supplement, or replace the English version. To the maximum extent permitted by law, the English version is the binding and controlling text.
Welcome to DCAUT. These Terms and Conditions ("Terms") govern your access to and use of the DCAUT website, platform, software, and services (collectively, the "Service"). The Service is owned and operated by Zwinner Technology Limited ("DCAUT", "we", "us", or "our").
By creating an account, accessing, or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
Note: The following Quick Read is for convenience only and is not part of the contract. In case of any inconsistency or ambiguity, the full Terms below control.
- We are a technology provider; we do not custody funds and will never request withdrawal permissions.
- Trades execute on your exchange via API; you retain full control of your funds.
- Crypto trading is risky; use only risk capital and set prudent risk controls.
- You can cancel subscriptions anytime in Account settings; refunds follow our Refund Policy.
- We comply with KYC/AML/sanctions/export rules and take privacy and security seriously.
1. Description of Service
DCAUT provides a platform with tools and technologies for automated and semi-automated cryptocurrency trading. Our services include, but are not limited to:
- Access to pre-built and customizable quantitative trading strategies.
- A backtesting engine to simulate strategy performance against historical data.
- Tools to connect with third-party cryptocurrency exchange accounts via API keys.
- Automated execution of trading signals based on user-configured strategies.
DCAUT is a technology provider. We do not provide financial advice, investment advice, brokerage services, or portfolio management.
DCAUT does NOT hold, custody, or manage your funds. All cryptocurrency assets remain in your exchange accounts at all times. We only provide software tools that connect to exchanges via API. We cannot and do not transfer, withdraw, or access your funds.
1.1 Geographic Restrictions
The Service is NOT available to residents or citizens of any jurisdiction where cryptocurrency trading or the use of our Service is prohibited by applicable law.
By using the Service, you represent and warrant that you are not located in, under the control of, or a national or resident of any such prohibited jurisdiction.
1.2 Sanctions and Export Controls
You may not access or use the Service where prohibited by applicable sanctions or export control laws. You represent and warrant that you are not a sanctioned person and are not located in any comprehensively sanctioned country or region, and that you will not use the Service to evade sanctions, for terrorist financing, or for any illegal purpose. We reserve the right to screen, refuse, or terminate Service for sanctions/export compliance.
2. Risk Disclosure & No Financial Advice
You acknowledge and agree that:
- High-Risk Activity: Trading cryptocurrencies is extremely risky. Prices are highly volatile, and you may lose your entire investment. You should not trade with funds you cannot afford to lose.
- No Guarantee of Profit: Past performance of any trading strategy, whether in backtesting or live trading, is not indicative of future results. DCAUT does not guarantee any specific outcome or profit.
- Software Risks: All software has inherent risks. The Service may contain bugs, errors, or suffer from interruptions. DCAUT is not responsible for any financial losses incurred due to software malfunction, network latency, or API connectivity issues with third-party exchanges.
- Not Financial Advice: All content, tools, and strategies provided through the Service are for informational and educational purposes only. They do not constitute financial, investment, or trading advice. You are solely responsible for your own investment decisions and for evaluating the risks associated with using the Service. You should consult with a qualified financial professional before making any investment decisions.
Tips for risk self‑management (not financial advice):
- Start small or in simulation and progressively validate strategies;
- Use stop losses and risk parameters; avoid excessive leverage;
- Review performance periodically; understand drawdowns, slippage, and fees;
- Manage API permissions and key storage per your exchange’s security best practices.
3. User Accounts
- Eligibility: You must be at least 18 years old and legally capable of entering into binding contracts to use the Service.
- Account Creation: You agree to provide accurate, current, and complete information during the registration process.
- Account Security: You are responsible for safeguarding your account credentials, including your password and any API keys used to connect to third-party exchanges. You agree to notify us immediately of any unauthorized use of your account. You are solely responsible for all activities that occur under your account, whether or not you have authorized them.
- API Keys: DCAUT requires read-only and trade execution API keys to connect to your exchange accounts. We will NEVER request withdrawal permissions. IP whitelisting is a security feature provided by cryptocurrency exchanges, NOT by DCAUT. DCAUT has no technical ability to control, enforce, or verify IP whitelisting settings on your exchange accounts. You are solely and exclusively responsible for: (i) configuring correct API key permissions on exchanges; (ii) enabling and maintaining IP whitelisting (if available from your exchange); (iii) securing your API keys and exchange account credentials. DCAUT is NOT liable for any losses arising from: (i) unauthorized access to your API keys or exchange accounts; (ii) compromised API keys due to disabled or misconfigured IP whitelisting; (iii) any security breaches of your exchange accounts, regardless of cause.
- Account Use and Sharing: Your account is personal to you. You may not sell, transfer, assign, or share your account or any access credentials with any other person or entity without our prior written consent.
3.1 No Custody of Funds
DCAUT is a technology service provider only. We do NOT:
- Hold, custody, or have access to your cryptocurrency or fiat currency
- Control your exchange accounts or wallets
- Have withdrawal permissions for your funds
- Act as a broker, custodian, or financial institution
All trading activities are executed directly on third-party exchanges using your API keys. Your funds remain in your exchange accounts under your sole control at all times. DCAUT cannot transfer, freeze, or access your assets in any way.
3.2 Know Your Customer (KYC) and Anti-Money Laundering (AML)
To comply with applicable laws and regulations:
- All users must complete email verification.
- Paid subscription users must complete identity verification (KYC), including providing government-issued identification.
- We reserve the right to request additional documentation or information at any time.
- We may suspend or terminate accounts that fail to complete or pass verification; where feasible, we will endeavor to provide prior notice and guidance on next steps (without prejudice to Section 10).
- Use of the Service for money laundering, terrorist financing, or any illegal activity is strictly prohibited.
3.3 Electronic Communications and E‑Signatures
You agree that we may provide agreements, notices, disclosures, and other communications (collectively, “Communications”) to you electronically. You have the ability to access and retain electronic Communications, and you agree that such Communications have the same legal effect as paper. You consent that your acknowledgment by checkbox, clicking “I Agree,” or similar actions constitute your electronic signature and agreement. If you require a paper copy, you may contact us to request one (reasonable costs may apply).
4. Fees, Payments, and Subscriptions
Subscription Plans: Access to certain features of the Service may require an active subscription. We offer various subscription plans with different features and pricing.
Billing: Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually). You authorize us to charge your chosen payment method for the recurring fees.
Changes to Fees: We reserve the right to change our subscription fees at any time. We will provide you with reasonable prior notice of any price changes.
No Refunds: All fees are non-refundable except as required by law or as explicitly stated in our refund policy.
Automatic Renewal and Cancellation: Subscriptions renew automatically at the end of each billing cycle unless cancelled. You can cancel at any time via the account settings; your cancellation takes effect at the end of the then-current billing period, and you will retain access until that time.
Taxes: Fees are exclusive of taxes, levies, duties, or similar governmental assessments (including VAT/GST/sales/use/withholding). You are responsible for any such taxes associated with your purchases, except for taxes based on our net income.
Refund Policy Reference: Refund eligibility and process, if any, are governed by our Refund Policy.
Payment Failures and Suspension: If we are unable to charge your payment method, you authorize us to retry within a reasonable period; continued failures may result in suspension, restriction, or downgrade of your access until fees are paid.
Trials and Promotions: Any free trials or promotional pricing are subject to the specific offer terms and may automatically renew at the then‑current standard rate unless you cancel before the end of the promotional period.
We will, where practicable, provide reasonable reminders of important subscription changes or upcoming renewals (e.g., by email or in‑product notices).
5. Intellectual Property Rights
All rights, title, and interest in and to the Service, including all software, text, graphics, logos, and other content (excluding your personal data and API keys), are and will remain the exclusive property of DCAUT and its licensors. The Service is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, sell, or lease any part of our Service or included software.
- Feedback License: If you provide suggestions, improvement ideas, or other feedback regarding the Service, you grant DCAUT a perpetual, worldwide, royalty‑free, sublicensable, and transferable license to use, reproduce, modify, publish, distribute, and implement such feedback for any purpose without any obligation or compensation to you.
- Infringement Notice: If you believe any content on the Service infringes your rights, please notify us at [email protected] with proof of rights, the specific location of the alleged infringing content, your contact information, and the action you request. We will review promptly and take appropriate measures as permitted by applicable law and our platform policies.
6. Prohibited Activities
To protect all users, fair markets, and platform stability, please do not engage in the following activities. You agree not to:
- Use the Service for any illegal purpose or in violation of any local, national, or international law.
- Manage or trade on behalf of any third party. The Service is for your personal use only.
- Attempt to reverse engineer, decompile, or otherwise access the source code of the Service.
- Use any automated system (e.g., bots, scrapers) to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.
- Interfere with or disrupt the integrity or performance of the Service.
- Engage in or facilitate market manipulation, including spoofing, wash trading, or any deceptive trading practice.
- Circumvent, disable, or interfere with any security, authentication, rate-limiting, or other technical measures of the Service.
- Resell, sublicense, rent, lease, or otherwise provide access to the Service to any third party without our prior written consent.
- Bulk scrape content, data, or metadata beyond fair and reasonable use.
- Use the Service to provide managed trading or investment services to others, whether for consideration or otherwise, unless expressly authorized by DCAUT in writing.
- Evade or assist any person to evade sanctions, export controls, or similar compliance requirements.
7. Third-Party Services
The Service interacts with third-party cryptocurrency exchanges and other services. We are not responsible for the performance, availability, or security of any third-party services. Your relationship with such third parties is governed by their respective terms of service. DCAUT is not liable for any losses or damages arising from your use of any third-party services. You must comply with the applicable terms, rules, and policies of each exchange or third-party service you connect to via the Service. Your contractual relationship with any exchange is separate and independent from these Terms.
We carefully select and continually evaluate third‑party sources but cannot guarantee their continuous availability or accuracy. Market and third‑party data: the Service may display or rely on market data, prices, order books, volumes, indices, or other information provided by third parties. Such data may be delayed, incomplete, inaccurate, or interrupted. DCAUT makes no warranties regarding third‑party data or the results of its use. You should independently verify data and assume the risks and consequences arising from its use.
8. Disclaimer of Warranties & Limitation of Liability
We strive to provide a stable and reliable service experience and implement reasonable technical and organizational measures to reduce the risk of outages. However, subject to applicable law, the following disclaimers and limitations apply:
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, DCAUT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF.
IN NO EVENT SHALL DCAUT, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR OTHER INTANGIBLES, ARISING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING (WHERE SUCH LIMITATION IS PROHIBITED) LIABILITY FOR FRAUD OR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.
8.1 Maximum Liability Cap
To the fullest extent permitted by applicable law, whether in contract, tort (including negligence), strict liability, or otherwise, DCAUT’s total aggregate liability arising out of or related to these Terms or the Service shall be limited to the lesser of: (i) the total fees you actually paid to DCAUT for the relevant Service in the twelve (12) months preceding the event giving rise to the claim; or (ii) one hundred US dollars (USD 100). If you use the Service on a free or trial basis, the cap is one hundred US dollars (USD 100). This limitation does not apply to liability that cannot be limited or excluded under applicable law. Except to the extent required by law, the remedies set forth in these Terms are your sole and exclusive remedies.
DCAUT SHALL HAVE ZERO LIABILITY FOR:
- Any and all trading losses, investment losses, or loss of profits
- Unauthorized access to API keys, exchange accounts, or funds
- Failures, outages, errors, or changes by third-party exchanges
- Market volatility, price fluctuations, or trading results
- Software bugs, errors, or interruptions
- Network issues, connectivity problems, or latency
- User errors, misconfiguration, or failure to follow security practices
- Any losses arising from your violation of these Terms
IF YOU ARE DISSATISFIED WITH THE SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.
9. Indemnification
You agree to defend, indemnify, and hold harmless DCAUT and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service.
- Your violation of any term of these Terms.
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right.
- Any claim that your use of the Service caused damage to a third party.
10. Termination
- Termination by You: You may terminate your account at any time by following the instructions within the Service.
- Termination by Us: We may suspend or terminate your access to the Service at our sole discretion, without prior notice or liability, for any reason, including if you breach these Terms.
- Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally settled by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat (legal place) of arbitration shall be Hong Kong. The arbitration shall be conducted in English. The arbitral tribunal shall consist of one arbitrator appointed in accordance with the HKIAC Rules. The arbitration proceedings, filings, and award shall be confidential, except to the extent disclosure is required by law or to enforce the award. Notwithstanding the foregoing, either party may seek interim, conservatory, or injunctive relief from the courts of Hong Kong for urgent matters to preserve rights or property, without waiving the agreement to arbitrate.
12. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and DCAUT concerning the Service.
Severability: If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions.
Changes to Terms: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect.
Force Majeure: Neither party shall be liable for any delay or failure in performance due to events beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, governmental action, power or internet outages, vendor failures, or exchange unavailability.
Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, corporate restructuring, or sale of assets.
Notices: We may provide notices to you via email, in-product messages, or by posting on our website. Notices are deemed given when sent or posted.
No Waiver: No failure or delay by either party in exercising any right or remedy shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise.
Independent Contractors: The parties are independent contractors. These Terms do not create any partnership, joint venture, employment, or agency relationship.
Fair Use and Rate Limits: We may implement and enforce fair use policies and rate limits. Violations may result in throttling, suspension, or termination of access.
Changes to the Service: We may modify, suspend, or discontinue any part of the Service at any time with or without notice. Where practicable, we will provide reasonable advance notice of material changes.
Beta Features: We may offer pre-release, beta, or experimental features. Such features are provided "as is," may be unavailable or changed at any time, and may be excluded from any uptime or support commitments.
12.1 Privacy and Data Protection
- Your understanding of how we collect, use, disclose, and protect personal data, and your rights, are governed by our Privacy Policy, which is incorporated by reference.
- We implement reasonable technical and organizational measures to protect your data, but do not guarantee absolute security. You should implement appropriate backup and security practices.
- Where the Service involves cross‑border transfers or processing by third parties on our behalf, such processing will comply with applicable laws and may be subject to a separate data processing agreement (DPA).
- Matters such as whether we sell or share personal data, and available choices and rights, are governed by the statements in our Privacy Policy.
12.2 Interpretation and Language
If any language version (translation) of these Terms is inconsistent, conflicts with, or is ambiguous relative to the English version, the English version shall prevail. If there is a conflict between these Terms and specific terms for a particular product or feature, the specific terms will govern.
